His statement also didn’t specify any reason for Mr Musk to decline the invitation, but did offer a possible clue.
Mr. Agrawal’s reference to “security duty” and his note that board members must act in the company’s best interests would at least have the potential to require Mr. Musk to silence his overt criticism of the company.
In addition, board membership may restrict a person’s ability to purchase shares as they will have access to insider information about the company.
Mr. Agrawal noted, however, that Mr. Musk remains the company’s largest shareholder, owning more than 9% of the company.
“We have always valued and will value input from our shareholders, whether they are on our Board of Directors or not,” said Mr Agrawal. “Elon is our largest shareholder and we will be open to his contributions.”
