Elon Musk threatened to withdraw $44 billion deal for Twittersaying the company refused to inform him About their fake account.

That’s why Twitter now plans to give Mr Musk access to much of his data, potentially down to his latest tweet.

The social media company has agreed to allow Mr Musk’s “fire hose” direct access to the billions of tweet streams that flow daily through the company’s network, according to a person familiar with the decision. It is unclear whether Mr Musk will gain full or partial access to this “fire hose”.

The information would give Mr Musk the tools to discern how many accounts on the Twitter platform could be fake. However, it likely won’t help Twitter come to the conclusion that 5 percent of its active accounts are fake, as the company uses a different methodology involving private data and people analysis to arrive at this figure. Mr Musk said he does not believe that only 5 percent of Twitter’s active accounts are fake.

Twitter’s move could make it harder for Mr. Musk to terminate the deal. On Monday, his lawyers sent the company a letter accusing the company of hindering its efforts to obtain the information needed to finalize the deal. Mr. Musk has tweeted increasingly scathing comments about Twitter’s fake accounts over the weeks, and it looks like he’s laying the groundwork for renegotiating or exiting the deal.

Mr Musk agreed to buy Twitter for $54.20 per share in April. If the deal is broken, a $1 billion separation fee. But the deal does include a “certain performance clause” that gives Twitter the right to sue it and force it to complete or pay the deal, as long as the debt financing remains intact.

A Twitter spokesperson declined to comment on granting Mr Musk access to the tweet stream, but cited a previous statement.

“Twitter has continued and will continue to share information in collaboration with Mr. Musk to complete the transaction in accordance with the terms of the merger agreement,” Twitter said. “We believe this deal is in the interest of all shareholders. We aim to close the transaction and enforce the merger agreement at the agreed price and terms.”

Mr Musk did not immediately respond to a request for comment. Washington post previously reported That Mr. Musk has access to the Twitter fire hose.

A company often shares confidential data with its recipient as part of a transaction, and the parameters for data sharing are negotiated before any agreement is signed. But when Mr. Musk agreed to buy the social media company, he stopped doing due diligence and Twitter began sharing confidential information with him last month.

One of Twitter’s concerns about sharing information was Mr Musk’s previous statements, both publicly and to the company, that he was considering launching a rival social media service, The New York Times reported. Typically, such matters are handled by limiting who can access such information.

Mr Musk said he would ensure that anyone viewing confidential data provided by Twitter is subject to a non-disclosure agreement. He also said he wouldn’t withhold or share sensitive information about Twitter if the deal breaks down.

Twitter calculated that 5 percent of its “money-earning daily active users” are fake. in April, the company reported It had 229 million monetizable daily active users.

Insiders said that once Mr Musk gains access to Twitter’s tweet stream, he will need a team of experts to analyze the data, as well as the computing capacity to process and store an enormous amount of information.
